Do You Need Stamp Paper for a Freelance Contract in India?

14 October 2026·6 min read

You have drafted a freelance contract and the client has agreed to it. Then someone asks whether it needs to be on stamp paper, or nobody mentions it and you start to wonder. Freelancers often wonder whether it is mandatory, and whether skipping it causes a problem.

A freelance contract in India does not become invalid because it is unstamped, but a document that should have been stamped cannot be used as evidence in court until the duty is paid. Whether your contract needs stamping, and how much, depends on your state.

An unstamped contract is not void, but it cannot be used as evidence

Under Section 35 of the Indian Stamp Act, 1899, an instrument that is chargeable with stamp duty cannot be admitted in evidence unless it is duly stamped. The same section lets an under-stamped document be admitted once the missing duty is paid with a penalty. In the Central Act the penalty is ₹5, or ten times the deficient duty if that comes to more. States have their own versions of the Act, so the details differ.

On 13 December 2023, a seven-judge bench of the Supreme Court dealt with this in the context of arbitration agreements (In Re: Interplay between Arbitration Agreements under the Arbitration and Conciliation Act, 1996 and the Indian Stamp Act, 1899). As reported by LiveLaw, the Court held that failure to stamp an agreement does not make it void or unenforceable. It makes the document inadmissible in evidence, and the defect can be cured. The ruling is about arbitration agreements, so treat it as strong guidance on how the courts view the question, not as a rule written for freelance contracts specifically.

How much stamp duty applies depends on your state

Each state sets its own stamp duty on agreements, so no single figure applies to every freelance contract in India. Whether a service agreement is charged, which category it falls under and how much it costs all depend on your state's schedule.

To find your own number, check the stamp duty schedule published by your state's stamp or registration department, or ask a local stamp vendor or advocate what applies to a service agreement of your size. Do this before you buy stamp paper, so you pay for the right instrument.

Stamping is worth the effort on larger or riskier engagements

Because an unstamped document cannot be relied on in court until the duty is paid, stamping matters most when you might actually need to enforce the contract: a high-value project, a client with a history of disputes, or an agreement with an arbitration clause. In those cases, paying the duty at the start avoids the penalty that can apply when a defect is cured later, and it keeps the document usable the day you need it.

For a small, low-risk project with a client you trust, the practical calculation is different, and you may decide the paperwork is not worth it. That is a judgement about risk, not a legal exemption. If you want the contract itself to be as strong as possible, the guide on writing a freelance contract that protects you covers what to include, and the guide on arbitration versus court for freelance contract disputes explains the route a dispute would take.

E-signing and e-stamping are separate questions

Signing a document electronically and paying stamp duty on it are two different steps. E-stamping, the electronic payment of stamp duty, is available in many states: StockHolding, which runs the SHCIL e-Stamping service, says it is implemented in 26 states and union territories as of 20 March 2025 (SHCIL e-Stamping). That is many, but not all. Whether an electronically signed agreement needs an e-stamp, and how your state treats electronic records for stamp duty, differs by state, so there is no blanket answer.

The guide on digital signature certificates for freelancers covers the signing side. For the stamping side, ask your state's stamp office or an advocate before relying on an e-signature alone for a high-value contract.

A new Stamp Bill has been proposed, so check the current law

In January 2024 the Department of Revenue published a draft Indian Stamp Bill, 2023, for public comment, intended to replace the 1899 Act (PIB release). A draft is not law, and no replacement has been confirmed in force as of October 2026, so the 1899 Act and your state's version are what to check.

Keep the signed copy where both sides can find it

Keep a signed copy somewhere you can retrieve it, because you may need it as evidence later. On Rinto's paid plans, you can fill in the scope and amount for a contract and send it for e-signature in the browser, and both sides get a PDF copy. Whether your state also requires stamp duty on it is a separate question, covered above. This post is general information, not legal advice, so for a high-value engagement ask a local advocate. If you start from a ready-made draft, the freelance contract template is a sensible place to begin.

Frequently Asked Questions

Is stamp paper required for a freelance agreement in India?

Each state sets its own stamp duty on agreements, so check your state's schedule for how a service agreement is charged. A freelance contract does not become void without stamping. The practical effect is that an under-stamped document cannot be used as evidence in court until the duty and any penalty are paid. Stamping matters most when you might need to enforce the contract, and the more money and risk in the engagement, the more it matters. Ask your state's stamp office or a local advocate how your contract is treated.

Is an unstamped freelance contract valid?

In a December 2023 ruling on arbitration agreements, a seven-judge Supreme Court bench held, as reported, that failure to stamp an agreement does not make it void or unenforceable. It makes the document inadmissible in evidence until the defect is cured. So the agreement between you and the client can stand, but you may not be able to rely on the document in court until it is properly stamped. This is general information, not legal advice. For anything high-value, ask an advocate in your state how the ruling applies to your contract.

Can I stamp a contract after it has been signed?

Often yes. Under Section 35 of the Central Indian Stamp Act, a document that was not stamped, or was under-stamped, can be admitted in evidence once the missing duty is paid along with a penalty. The Central Act sets that penalty at ₹5, or ten times the deficient duty if that is more. State Acts vary, so check yours. Stamping at the start avoids that penalty, which matters most on a high-value contract. Ask your state's stamp office what the deficit duty and penalty would be.

Is e-stamping available for freelance contracts?

E-stamping is available in many states. StockHolding, which runs SHCIL e-Stamping, says it is implemented in 26 states and union territories as of 20 March 2025, so it is not available everywhere. Whether an electronically signed freelance agreement needs an e-stamp, and how your state treats electronic records for stamp duty, varies by state. Ask your state's stamp office or an advocate before relying on an e-signature alone for a high-value contract. Treat signing and stamping as two separate steps, and confirm that each is done properly.

How much stamp duty does a freelance contract need?

There is no single figure, because each state sets its own stamp duty on agreements. To find yours, check the stamp duty schedule from your state's stamp or registration department, or ask a local stamp vendor or advocate what applies to a service agreement of your size, before you buy stamp paper or an e-stamp. Tell them it is a service agreement and what it is worth, so they can point you to the right category. Ask whether an e-stamp is available in your state, since e-stamping is not available everywhere.
